These terms and conditions of use of NIGHTCODE GROUP S.A.P.I de C.V. (hereinafter Reservándonos) apply to all direct or indirect services. By accessing, browsing, and using our website, you accept that you have read and understood the terms and conditions set out below.

As a company dedicated to offering you the best reservation service at the most prestigious restaurants, Reservándonos helps connect the user with restaurants by sharing personal information with third parties, restaurants, and other personnel who require it.

If you do not accept these terms and conditions, you must refrain from using our website as well as our services and information.

GENERAL CONDITIONS OF USE

• Personal information: User data and any information by which the user can be identified.
• Reservándonos: The platform through which partners can advertise their venues so that users can access promotions, reservations, and discounts.
• Partner: A third party interested in advertising its services through our company, application, and website, granting a mandate to the company in order to generate more customers.
• User: A natural or legal person who accesses the website interested in the services offered by Reservándonos.

The terms "we," "our," and "Reservándonos" refer to Reservándonos, a company dedicated to restaurant reservations, located in Mexico City.

USER PRIVACY AND THEIR INFORMATION

The information entered and collected from the user will be used to provide a better service, products, and features related to their reservation, as well as to offer suggestions based on the information provided, in order to deliver a better experience when booking with us and our partners. This information will be used solely for the purposes mentioned above; Reservándonos reserves the right to use this information for purposes other than those already mentioned.

THIRD-PARTY SITES AND SERVICES

By accepting our terms and conditions, the user agrees to share their information with our partners and collaborators in order to provide a better reservation service.

Reservándonos may contain links to third-party sites in order to verify the information we provide.

CONDITIONS FOR USING OUR PLATFORM

In order to access and book a reservation service at any of our many restaurants specially selected for the user, it is necessary to meet certain eligibility requirements, as follows.

By using our platform, you agree that you are of legal age (18 years), that you have the legal capacity to make a reservation and thereby assume obligations when contracting the service with us, and that you have identification credentials with which we can provide the service and a better experience.

USER ACCOUNT

As mentioned above, the user must meet the platform's requirements in order to register and create an account, for which personal information such as full name, email address, phone number, and a password will be requested. The user must always remember this password and keep it strictly confidential, as it will be their access pass to our services; this data is essential for creating the account and properly identifying the user.

When creating an account on our platform, the user shall be fully responsible for the use of the account and its access information; it is also the user's responsibility not to share this information with third parties, as we are not responsible for misuse of the account.

All information provided by the User to Reservándonos must be truthful and verifiable. For these purposes, the User guarantees the authenticity of all data provided and any updates thereto, and is responsible for any damages arising from inaccuracies therein.

It is the User's obligation and responsibility to safeguard their data and access credentials, as these are for the exclusive use of the account holder.

INTELLECTUAL AND INDUSTRIAL PROPERTY

The content, organization, graphics, design, compilation, and other aspects of the application are protected by Intellectual Property laws; the user agrees not to copy or misuse our platform. Copying, redistributing, using, or publishing it, in whole or in part, is prohibited by law.

All content used on the Reservándonos platform, such as images, logos, text, databases, code, etc., is protected by national and international intellectual property legislation. The aforementioned elements are the property of Reservándonos.

Therefore, users may not copy, reproduce, or recreate the information from the Reservándonos site.

PROHIBITIONS WHEN USING OUR WEBSITE

Using third-party accounts and passwords, in which case the user will be responsible for anything done with their account; using information without the account holder's authorization; committing identity theft by using another person's personal identification information without permission to commit fraud or other crimes; sending SPAM to our platform, chain messages, junk mail, or any other type of unsolicited mass mail; uploading, distributing, or disseminating from the site material or information of a threatening, harassing, defamatory, obscene, pornographic, fraudulent, or misleading nature, or that could otherwise violate the law, in which case the applicable legal provisions for such offenses will apply.

SYSTEM FAILURES AND UPDATES

The website may occasionally experience failures beyond Reservándonos' control; in such cases, we will strive to restore the connection as quickly as possible.

QUALITY OF SERVICE OR PRODUCT, CONTENT, AND WARRANTY

Being of legal age is mandatory in order to use our services as well as those of our partners. Without this, access to the reservation will not be granted.

Each restaurant has its own dress code, which the user must review and accept.

Reservándonos includes offers from our partners on its platform; they are responsible for accessibility, service, comfort, etc. The services are provided by the third party that posts on our website or the Reservándonos application.

Reservándonos is not responsible for our partners' fulfillment of their obligations, nor for the content of their advertising; the Partner is solely responsible for any damages or harm caused to the user within the scope of the service provided.

Users agree to release Reservándonos from any liability in the event they are unable to benefit from advertising obtained through partners; likewise, Reservándonos is not responsible for any case in which a restaurant declines to apply the promotion for any reason.

SERVICE COUPONS

Discounts, coupons, and promotions cannot be combined with other current promotions. Service coupons are subject to the following specific conditions:

• The correct application and use of codes/coupons is the responsibility of the user who obtains them.
• Codes are bearer instruments.
• Codes may only be used on the dates indicated; after that, they will expire and the user may not use them or make any claims regarding them.
• Offers published on the platform are entirely the responsibility of the partners. Violation of any of these rules and regulations, or any other unacceptable act that may cause damage, harm, or offense, entitles the Partner to remove the User from the venue, causing them to lose their offer if it has not yet been redeemed.
• In the event described above, there will be no refund of the amount paid.
• In case of issues with a code or its generation, the user should first contact the Reservándonos Customer Service department.

GOVERNING LAW AND JURISDICTION

These terms and conditions are governed by the laws of the United Mexican States and by the Federal Law for the Protection of Industrial Property. Any dispute arising from this agreement, its existence, validity, interpretation, scope, or performance, shall be submitted to the applicable laws and to the competent courts of Mexico City.
